• "Admin" refers to GlobalGrad's internal administrative staff managing the platform.
• "Content" refers to any text, images, video, audio, or other material uploaded, shared, or displayed on the Service.

3. Description of Service

GlobalGrad provides an AI-powered platform designed to simplify the international university application process. Our Service includes:

4. User Accounts & Registration

4.1. Account Creation: To access certain features of the Service, you must register for an account using your email address and creating a password. You agree to provide accurate, current, and complete information during the registration process.

4.2. Account Security: You are responsible for maintaining the confidentiality of your account password and are responsible for all activities that occur under your account. You agree to notify GlobalGrad immediately of any unauthorized use of your password or account.

4.3. User Roles: The Service offers different user roles (e.g., Student, Counselor, Admin), each with specific access rights and functionalities.

4.4. Eligibility: You must be legally capable of entering into agreements. By creating an account, you represent and warrant that you meet these eligibility requirements.

5. User Responsibilities & Conduct

5.1. Lawful Use: You agree to use the Service only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Service.

5.2. Prohibited Conduct: You agree not to:

• Upload, post, or transmit any unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable content.
• Harass, threaten, or defame any other User or GlobalGrad personnel.
• Attempt to gain unauthorized access to the Service, other User accounts, or computer systems connected to the Service.
• Interfere with the Service's proper working.
• Use the Service for any fraudulent or misleading activities.
• Use automated systems (bots, scrapers) to access or extract data from the Service without express written permission.

5.3. Accurate Information: You are solely responsible for the accuracy of the information and documents you provide through the Service. GlobalGrad is not responsible for any adverse outcomes resulting from inaccurate or incomplete information provided by you.

6. AI-Powered Guidance & Tools

6.1. AI Assistance: GlobalGrad utilizes Artificial Intelligence (AI) to provide personalized recommendations, document parsing, content suggestions (e.g., essay drafts), and other automated guidance.

6.2. Limitations of AI:

• AI-generated content is for informational purposes only and may not always be accurate, complete, or up-to-date.
• AI recommendations are supplementary tools and should not be considered professional legal, financial, or immigration advice.
• Users are solely responsible for reviewing and verifying all AI-generated content and recommendations.
• GlobalGrad is not liable for any decisions made based solely on AI-generated output.
• You understand that your data, including uploaded documents (e.g., CVs for parsing), may be processed by AI models for the purpose of providing the Service.

7. Content

7.1. User Content: You retain ownership of any Content you submit, post, or display on or through the Service ("User Content"). By submitting User Content, you grant GlobalGrad a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, publish, and distribute such User Content in connection with the Service.

7.2. Prohibited Content: You must not upload Content that is illegal, infringes on intellectual property rights, contains viruses, or is otherwise harmful.

7.3. Platform Content: All content provided by GlobalGrad (excluding User Content) including text, graphics, logos, software, and the compilation of such content is the property of GlobalGrad or its content suppliers and is protected by international copyright laws.

7.4. Feedback: Any feedback, comments, or suggestions you may provide regarding GlobalGrad or the Service is entirely voluntary, and we will be free to use such feedback, comments, or suggestions as we see fit and without any obligation to you.

8. Fees, Payments & Referrals

8.1. Service Fees: Certain premium services or features on GlobalGrad may be subject to fees. All applicable fees will be clearly stated. You agree to pay all fees and applicable taxes incurred by you or anyone using your account.

8.2. University Application Fees: GlobalGrad may facilitate the payment of university application fees. These fees are determined by the respective universities and are non-refundable unless specified otherwise by the university.

8.3. Referral Program: GlobalGrad may offer a referral program. Participation is subject to specific program terms and conditions. Commissions earned through the referral program will be paid out according to the published payout policy, which may require you to provide banking or payment information. GlobalGrad reserves the right to modify or terminate the referral program at any time.

8.4. Payment Processing: All payments are processed through secure third-party payment processors. GlobalGrad does not store your full payment card details.

9. Third-Party Links & Services

The Service may contain links to third-party websites or services that are not owned or controlled by GlobalGrad (e.g., university websites, payment gateways, video conferencing tools). GlobalGrad has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that GlobalGrad shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

10. Disclaimers & Limitation of Liability

10.1. "As Is" Basis: The Service is provided on an "AS IS" and "AS AVAILABLE" basis. GlobalGrad makes no warranties, express or implied, regarding the Service, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

10.2. No Guarantee of Admission/Visa: GlobalGrad does not guarantee university admission, scholarship awards, or visa approvals. These decisions are made solely by the respective universities and immigration authorities. Our Service provides guidance and support to enhance your application.

10.3. Limitation of Liability: In no event shall GlobalGrad, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

11. Indemnification

You agree to defend, indemnify, and hold harmless GlobalGrad and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms; or c) your Content posted on the Service.

12. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or follow the account deletion process outlined in our Privacy Policy.
